Terms of Service

These terms govern use of Skillnod services by business customers and authorized users.

These Terms of Service ("Terms") are entered into between Skillnod, operating from Australia ("Skillnod", "we", "our", "us"), and the customer entity that purchases or uses our services ("Customer", "you", "your"). These Terms apply to use of the Skillnod platform and related services, including training, skills assessments, corporate surveys, and phishing simulation features.

1. Contract Structure

These Terms apply together with any executed order form, statement of work, or other commercial agreement between Customer and Skillnod (the "Order"). If there is a conflict, the Order prevails for commercial specifics and these Terms govern generally.

2. Eligibility and Account Authority

Customer represents that it has legal authority to enter into this agreement and to authorize users. Customer is responsible for account administration, user permissions, and ensuring credentials are kept secure.

3. Service Access and License

Subject to these Terms and payment obligations, Skillnod grants Customer a limited, non-exclusive, non-transferable right during the subscription term to access and use the services for internal business purposes.

4. Acceptable Use

Customer and users must not:

  • Use the services for unlawful, fraudulent, or unauthorized activities.
  • Attempt to disrupt, probe, or bypass service security controls.
  • Upload malware or harmful code, or interfere with platform availability.
  • Reverse engineer, copy, or create competing derivative services from the platform.
  • Use phishing simulation features to target unauthorized external recipients or non-approved populations.
  • Use the services in ways that infringe third-party rights or contractual obligations.

5. Customer Data and Processing Roles

As between the parties, Customer retains all rights, title, and interest in Customer Data. Customer is responsible for the legality, quality, and accuracy of Customer Data and for obtaining any required notices, consents, or internal authorizations.

In standard B2B deployments, Customer acts as controller and Skillnod acts as processor for Customer Data processed to provide services. Skillnod processes Customer Data on documented instructions and according to agreed contractual terms.

6. Intellectual Property

Skillnod and its licensors retain all rights, title, and interest in the services, platform software, documentation, trademarks, and related intellectual property. No ownership rights are transferred to Customer.

Customer may provide feedback. Skillnod may use feedback for product improvement without restriction, provided no Customer Confidential Information is disclosed.

7. Confidentiality

Each party may receive non-public information from the other party ("Confidential Information"). The receiving party must protect Confidential Information using reasonable safeguards, use it only for agreement purposes, and not disclose it except to personnel and advisers with a need to know and confidentiality obligations.

8. Security and Compliance Positioning

Skillnod maintains security controls designed to support confidentiality, integrity, and availability, including secure authentication, access control, logging, and vulnerability management practices.

Our operating approach is aligned with leading control frameworks and designed to support customer programs aligned to ISO/IEC 27001:2022, ISO 9001 quality principles, GDPR, UAE PDPL, and KSA PDPL expectations. This wording is not a certification claim.

9. Subprocessors and International Transfers

Skillnod may use subprocessors to deliver infrastructure and support services. Subprocessor details are available on request and may be provided under NDA as part of due diligence.

Customer acknowledges that services may involve cross-border processing and agrees that appropriate contractual and operational safeguards may be used for international data transfers.

10. Fees and Payment

Fees, billing cadence, and payment terms are defined in the applicable Order. Unless otherwise stated, fees are non-refundable and payable in accordance with agreed invoicing terms.

11. Suspension

Skillnod may suspend access where reasonably necessary to protect the service, address security risk, prevent unlawful use, or enforce material agreement terms. Skillnod will use reasonable efforts to provide notice where practicable.

12. Term, Termination, and Data Export/Deletion

The agreement starts on the effective date in the Order and continues for the subscription term unless terminated earlier under these Terms.

Either party may terminate for material breach if the breach is not cured within a reasonable written cure period.

Upon termination or expiry, Customer may request export of Customer Data during an agreed post-termination window. Thereafter, Skillnod will delete or return Customer Data in line with contractual commitments, retention requirements, and legal obligations.

13. Warranties and Disclaimers

Skillnod warrants that services will be provided in a professional and workmanlike manner. Except as expressly stated, services are provided "as is" and to the fullest extent permitted by law, Skillnod disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or business interruption, even if advised of the possibility of such damages.

Skillnod's aggregate liability arising out of or related to these Terms will not exceed the total fees paid or payable by Customer to Skillnod under the applicable Order in the 12 months preceding the event giving rise to the claim.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia, excluding conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of New South Wales, Australia.

16. Changes to Terms

Skillnod may update these Terms from time to time. Material updates will be published with a revised effective date. Continued use of services after the effective date constitutes acceptance of updated Terms, unless otherwise agreed in writing.
